Subject: Cost of cattle manure and fill dirt

Cattle feeder neighbor to one of the farms approached my brother about buying dirt for his feed lot. Farm is highly erodable and has been in no til for 4-5 years. He would strip the topsoil off the crest of a hill, remove a couple feet of clay, put down some manure, recover with top soil, and manure over the top.
Shaving off the crest of the narrow hill would improve the lay of the land for farming, pretty steep drop of to both sides now. Total hauling distance for him maybe 1/2 mile.
My questions What to charge him for the clay he would haul off per yard? What is the value of the manure he would bring in, as in what to pay him for it? How many yards per acre would be recommended (or maximum) that could be put under the top soil, and how much over the top. Do not have a manure analysis. Farm is in pretty good shape soil analysis wise.
Soil is frozen up and he would like to spread some manure (different area of the field) now. Will it do any good without being worked in before spring? Amout per acre?
What negatives do you anticipate?
Sorry for all the questions. We know nothing about livestock. East central Nebraska if that makes a difference.
